Yogi Patel is the Managing Partner at Outside Legal Counsel LLP, where he provides strategic legal counsel as outside general counsel to a broad spectrum of privately held companies, startups, and entrepreneurs. His core practice areas include commercial transactions, corporate governance, and employment law.

Yogi brings deep experience in guiding businesses through every stage of growth—from entity formation and structuring, to navigating complex compliance and regulatory issues, developing strategic partnerships and joint ventures, handling employment matters, and managing both proactive and defensive litigation. He is regularly engaged to lead internal investigations, oversee audit responses, and conduct compliance reviews, particularly in highly regulated industries.

In addition to his work with businesses, Yogi advises individual executives and professionals—primarily in the technology, finance, and healthcare sectors—on matters involving compensation packages, equity awards, and severance agreements. He represents executives at both publicly traded and privately held companies and is a skilled negotiator of executive employment and separation agreements. Yogi also represents clients in disputes concerning restrictive covenants, including non-compete, non-solicitation, and confidentiality agreements.

Yogi has also served as an Adjunct Professor of Law at CUNY School of Law, where he teaches courses on the uniform commercial code and secured transactions. He also supports new law graduates each summer in preparing for the New York State Bar Exam, a role he has proudly held since 2012.

Earlier in his career, Yogi served as in-house counsel to a New York City-based construction and real estate development firm, advising on legal matters related to land acquisition, project financing, contract negotiation, and post-construction dispute resolution. He also spent several years at a boutique education law firm representing both individual and institutional clients in litigation, arbitration, labor and employment, and corporate matters.

Yogi’s approach is rooted in practical problem-solving, clear communication, and a deep commitment to client service. Whether serving as a long-term advisor or stepping in for a high-stakes negotiation or dispute, he brings a steady hand and business-minded perspective to every matter. He is licensed to practice in New York and continues to stay closely connected to the business and legal communities through teaching, mentorship, and speaking engagements.
