Kyle Carraro is a partner at Outside Legal Counsel LLP. Kyle serves as outside general counsel for businesses across a variety of industries, including technology, advertising and marketing, health, medicine, beauty, construction, industrial design, financial services, apparel, and more. Kyle advises his clients on corporate matters such as entity formation, drafting operating agreements, service agreements, and purchase/sale agreements, filing trademarks, and other transactional and strategic issues. Kyle also advises on employment matters, including navigating the hiring process, creating compliant employee manuals and other protective documents, and handling employee complaints and misconduct.  

Kyle is also well-versed in advising individual employees and freelancers as well. On the employee side, Kyle regularly advises in the negotiation of employment contracts for executives and individuals joining startups, as well as helping to strategically secure an optimal severance when an employee is either terminated or wishes to leave the job. With regards to freelance workers, Kyle is one of few attorneys with genuine expertise and experience utilizing the New York City (and as of 2024, NY state) Freelance Isn’t Free Act, having not only utilized the statute to directly recoup thousands of dollars owed to freelance workers, but also winning one of the earliest summary judgments under the Act.

Far beyond the purely transactional, Kyle prides himself on building long-term relationships with his clients centered around trust, communication, and developing a deeper understanding of their needs. Kyle’s clients know that if they ever have a question, concern, or opportunity, he will be there for them to provide reliable, pragmatic advice, and that if their concern is not something he handles directly, Kyle is always willing to extend his network of professionals.

In compliment to his practice with Outside Legal Counsel LLP, Kyle regularly serves as a mentee to recent law school graduates to help them prepare to take the New York State Bar Exam.

Prior to joining the firm, Kyle represented tenants in housing court and was part of a legal team that represented an indefinitely detained prisoner at Bagram Airbase, Afghanistan. Before pivoting to becoming a lawyer, Kyle worked in the global commodities sector for both Citibank and Deutsche Bank, and spent time living abroad in Buenos Aires, Argentina.

Kyle is fluent in Spanish, plays soccer weekly, and is an avid chess player.
